Vestrum LLC legal details. Vestrum LLC is a Wyoming limited liability company. The designated point of contact for legal, privacy, and compliance matters is Ahmed Tarek Ali, Co-Founder/Manager, reachable at owners@vestrumllc.com.

These Terms of Service (the “Terms”) are a legally binding agreement between you (“Customer,” “you,” or “your”) and Vestrum LLC, a Wyoming limited liability company (“Vestrum,” “Company,” “we,” “us,” or “our”). They govern access to and use of Vestrum CRM, a hosted customer relationship management, communications, automation, and telephony platform (the “Service”), and they incorporate by reference the Acceptable Use Policy (“AUP”), Privacy Policy, Refund Policy, Data Processing Addendum (“DPA”), Cookie Policy, Security Overview, SMS & Calling Compliance Policy, and Abuse & Carrier Compliance Policy (collectively, the “Incorporated Policies”), each of which forms part of this agreement between Vestrum and Customer.

These Terms are entered into electronically. By checking a box, clicking “I Agree,” creating an account, or otherwise accessing or using the Service, Customer agrees to be bound by these Terms and represents that the individual accepting on Customer's behalf is at least 18 years old and authorized to bind Customer.

1. The Service

Vestrum CRM is a cloud-hosted SaaS platform. Depending on the Customer's plan, features may include CRM and pipeline management; contact and interaction records; calendars and booking; email inbox connection (Customer connects its own email account; Vestrum does not operate a separate email-sending infrastructure); SMS; click-to-call; manual, auto, progressive and predictive dialing; voicemail drop; IVR; call routing and forwarding; SIP trunking; number provisioning and porting; call recording; answering-machine detection; APIs and webhooks (where and when released); and related administrative and reporting tools.

As of the Effective Date, Vestrum does not offer WhatsApp messaging, MMS, or a public developer API. References to these features elsewhere in Vestrum's marketing materials describe planned functionality only and are not available unless and until Vestrum announces general availability. This Section will be updated when such features launch.

Vestrum provides the software platform and communications infrastructure integrations. Vestrum does not place outbound calls or send outbound marketing messages on Customer's behalf, does not supply lead lists, and does not operate Customer's telemarketing campaigns. Customer independently determines whom to contact, what to communicate, and the lawful basis for each communication.

Vestrum offers a free trial period of fourteen (14) days on eligible plans. Trial accounts do not include access to dialer features (including click-to-call, manual/auto/progressive/predictive dialing, and voicemail drop). Vestrum may modify, limit, or discontinue trial offers at any time.

2. Eligibility, Verification, and Global Access

  • Customer must provide accurate account and business information and keep it current.
  • Customer is responsible for credentials, API keys, user permissions, and activity under its account.
  • Customer must be legally authorized to use the Service and, where applicable, authorized to bind the business named on the account.
  • The Service is offered to businesses worldwide, subject to applicable export control and sanctions law (Section 28). Before provisioning communications features, Vestrum may require business, identity, domain, tax, or use-case information (“KYC information”) sufficient to verify Customer and assess regulatory, carrier, and fraud risk. Vestrum may decline, delay, or condition service on receipt of adequate KYC information.
  • The Service is not currently offered to businesses located in the United Kingdom, and Customer must not use the Service to contact, or process personal data of, individuals located in the United Kingdom. Vestrum may implement verification or blocking measures to enforce this restriction and may suspend or terminate accounts found to be in violation of it.
  • Customer is solely responsible for determining whether its use of the Service is lawful in every country and jurisdiction from which it operates or into which it communicates. Vestrum's availability in a jurisdiction is not a representation that use of the Service by Customer in that jurisdiction is lawful.
  • The Service is intended for business use. By creating an account, Customer represents that it is a business, sole proprietor acting in a business capacity, or other organization entering these Terms for business purposes, and not as a consumer acquiring the Service primarily for personal, family, or household use.

3. Communications and Regulatory Compliance

Customer is solely responsible for determining and complying with all laws applicable to its communications, including the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), federal and state Do-Not-Call requirements, state telemarketing and consumer-protection laws (including state laws requiring telemarketer registration, licensing, or bonding), CAN-SPAM, applicable carrier and messaging-platform rules (including CTIA guidelines and 10DLC/toll-free registration requirements), call-recording and consent laws, and, where Customer’s communications originate from, are directed to, or otherwise touch persons located in Canada, the European Union/EEA, Australia, or any other jurisdiction outside the United States (excluding the United Kingdom, which is outside the scope of the Service; see Section 2), the laws of those jurisdictions, including Canada’s Anti-Spam Legislation (CASL), the EU ePrivacy Directive and member-state implementing legislation, and Australia’s Spam Act 2003 and Do Not Call Register Act 2006.

Customer must obtain and maintain every consent, authorization, notice, disclosure, and opt-out mechanism required for its calls, texts, emails, prerecorded messages, voicemail drops, recordings, and automated communications, under the law of every jurisdiction in which the recipient is located.

Vestrum's compliance-related controls are tools, not legal advice or a compliance guarantee. Vestrum does not automatically scrub Customer contacts against the National Do Not Call Registry, any state registry, or any non-U.S. equivalent unless a separate written service expressly says otherwise. Customer must maintain its own lawful suppression and consent records.

4. Regulated Industries and Sensitive Data

Customer represents that it will not submit, and will not use the Service to collect, transmit, store, or process, protected health information (PHI) under HIPAA, cardholder data subject to PCI DSS, or other sensitive regulated data categories, unless and until Customer has separately entered into a written agreement with Vestrum expressly addressing that category of data (for example, a signed Business Associate Agreement for PHI).

Vestrum currently does not offer HIPAA Business Associate Agreements, PCI DSS attestations, or other regulated-industry certifications as a standard part of the Service. Customer acknowledges that the Service is not designed or certified to handle PHI, cardholder data, or comparable regulated data, and that submitting such data without a separate written agreement is done entirely at Customer's own risk and in breach of these Terms. Businesses in healthcare, financial services, debt collection, legal services, real estate, and insurance may use the Service for general business communications, but must not use dialer, SMS, recording, or storage features to transmit or retain PHI, full payment card numbers, or other data subject to heightened regulatory protection without Vestrum's prior written agreement covering that use.

5. Automated and Prerecorded Communications

Customer acknowledges that predictive dialing, progressive dialing, auto dialing, voicemail drop, prerecorded messages, automated SMS, and similar functions may be subject to heightened legal requirements, including prior express written consent requirements under the TCPA for certain message types. Customer must not use such features unless Customer has the required consent and otherwise complies with applicable law.

6. Call Recording, Transcription, and Answering-Machine Detection

Customer is solely responsible for determining whether recording is lawful for each call (including whether one-party or all-party consent applies) and for providing all required notices and obtaining all required consent. Vestrum does not determine the location, consent standard, or legal status of each participant. Recording may be enabled or disabled on a per-account or per-campaign basis at Customer's configuration; Customer is responsible for its own default settings.

The Service uses answering-machine detection (AMD) technology, provided through Vestrum's telecommunications infrastructure partner, to indicate in real time whether an outbound call was answered by a human or a machine/voicemail system. AMD analyzes call audio patterns to make this determination; it does not generate transcripts, summaries, or written records of call content. Vestrum does not currently offer call transcription or AI-generated call summaries as part of the Service; if and when such features are released, this Section and the Subprocessor List will be updated to identify the provider and describe the feature accurately before it becomes generally available.

7. Do-Not-Call and Opt-Out Controls

Customer must promptly honor entity-specific and other legally required opt-outs and maintain suppression lists. The Service automatically processes STOP, UNSUBSCRIBE, CANCEL, END, and QUIT replies (and equivalent recognized keywords) to SMS messages sent through the Service by suppressing further automated SMS to that contact; Customer remains responsible for honoring opt-outs received through other channels (verbal requests, email, written notice) and for suppressing contacts across all communication types. Customer must not use any Vestrum feature to circumvent an opt-out, DNC request, consent revocation, or other communication restriction.

8. Acceptable Use

Customer may not use the Service to violate law or carrier/platform rules; send unlawful spam; engage in fraud, phishing, impersonation, harassment, threats, or deception; spoof caller ID unlawfully; generate artificial traffic; conduct traffic pumping or call pumping; abuse voicemail or SMS systems; evade carrier filtering; use numbers or accounts obtained through false information; or interfere with the Service. Additional restrictions are set out in the AUP.

Customer may not use the Service to make calls or send messages to persons where required consent or authorization has not been obtained, or to continue contacting persons after a valid opt-out.

Customer may not reverse engineer, decompile, or attempt to derive the source code of the Service, use the Service to build a competing product, or use automated means to scrape or extract data from the Service beyond Customer's own account, except to the extent such restriction is prohibited by applicable law.

9. Customer Verification and Abuse Prevention

Vestrum may request information reasonably necessary to verify Customer identity, business status, intended use, traffic patterns, consent practices, or compliance. Vestrum may investigate abuse reports and may request evidence of consent, suppression procedures, campaign information, or other records.

Vestrum may suspend, restrict, disable, or terminate accounts, numbers, routes, messaging capabilities, APIs, or other features immediately where Vestrum reasonably believes continued use presents legal, regulatory, carrier, fraud, security, spam, or reputational risk, or where required by a carrier, messaging platform, regulator, or lawful authority.

10. Carrier and Third-Party Services

Voice and messaging services rely on third-party telecommunications carriers and platforms, including Telnyx LLC. Customer's use is subject to applicable third-party rules, including Telnyx's acceptable use policies and 10DLC/toll-free registration requirements. Carrier outages, blocking, filtering, number reputation decisions, or regulatory restrictions may affect availability.

11. Telephone Numbers and Porting

Numbers provisioned through the Service are subject to carrier availability, regulatory requirements, and applicable provider terms. Customer may request porting subject to applicable procedures. Vestrum will not knowingly obstruct a lawful port-out. Upon account cancellation or termination, numbers are held for a grace period of thirty (30) days before release back to the carrier number pool, during which Customer may request porting; after the grace period, numbers may be permanently released and reassigned.

12. Customer Data

Customer retains ownership of Customer Data. Customer grants Vestrum a limited license to host, store, transmit, process, secure, and otherwise use Customer Data only as necessary to provide, maintain, secure, troubleshoot, and improve the Service as permitted by applicable law and the parties' agreements.

Customer represents that it has the rights and permissions necessary for Vestrum to process Customer Data as contemplated by the Service, and, where Customer connects its own third-party email account to the Service, that Customer has the right to connect that account and authorize Vestrum's access to it.

13. Retention and Deletion

Subject to legal, security, backup, dispute, and accounting requirements, Vestrum's standard retention periods are one (1) month for Customer Data after account termination and three (3) months for call recordings, after which such data is automatically deleted or anonymized in the ordinary course. Customer may request an earlier deletion, or a limited extension to permit export, by contacting owners@vestrumllc.com before the applicable period expires. Different retention periods may apply where expressly stated in a written agreement or required by law. Backup copies may persist for a reasonable additional period while being securely overwritten.

14. AI-Assisted Features

Where the Service includes AI-assisted features (currently limited to answering-machine detection; see Section 6), such features may generate classifications or other automated outputs. Customer remains responsible for reviewing any AI-assisted output before relying on it and for ensuring that its use of AI-assisted features complies with applicable law, consent requirements, confidentiality obligations, and Customer policies. Vestrum does not guarantee that AI-assisted output is accurate, complete, or suitable for a particular purpose. Vestrum will update this Section and the Subprocessor List before introducing any additional AI-assisted feature that processes call or message content.

15. Fees, Renewal, and Cancellation

Subscriptions may be monthly or annual and automatically renew for successive periods unless cancelled before renewal through Customer's account settings or by contacting owners@vestrumllc.com.

Monthly plans: fees are non-refundable except where required by law.

Annual plans: if Customer cancels within the first three (3) months of an annual term, Customer will receive a refund of the fees paid for the remaining, unused months of that term, provided that the months already used are re-rated and charged at Vestrum's then-current non-discounted monthly rate (rather than the discounted annual rate) for the period of actual use, with the difference deducted from the refund. Cancellations after the first three (3) months of an annual term are not eligible for any refund. This is the sole refund available under these Terms; no other refunds are provided except where required by law.

Usage-based charges (including numbers and porting) accrue based on actual usage shown in the applicable pricing materials and may be billed automatically or on request, at Customer's configuration; Vestrum does not impose a cap on usage-based purchases unless Customer configures one.

Minutes and SMS packages. Calling minutes and SMS messages may also be purchased in pre-paid packages (“Usage Packages”). Customer may configure each Usage Package to auto-renew automatically upon exhaustion or expiration of its billing cycle, or to renew only when manually initiated by Customer once the package is used up; Customer's selected renewal method controls until changed in account settings. Minutes and SMS messages included in a Usage Package do not expire and carry over from one billing month to the next for as long as Customer's account remains active, regardless of whether the Usage Package itself is on auto-renewal or manual renewal. Unused minutes or SMS messages are forfeited without refund if the account is cancelled or terminated, except where a refund is otherwise required under this Section 15 or by law. Usage Packages are otherwise subject to the same non-refundable treatment as monthly plan fees described above, unless Vestrum's pricing materials state otherwise for a specific package at the time of purchase.

16. Taxes

Fees exclude applicable sales, use, VAT, telecommunications, communications, or similar taxes and governmental charges, except taxes based on Vestrum's net income. Customer is responsible for applicable taxes associated with its purchase or use of the Service.

17. Intellectual Property

Vestrum and its licensors own the Service, software, interfaces, designs, documentation, workflows, templates, and related intellectual property. Customer receives a limited, non-exclusive, non-transferable right to use the Service during the subscription term. Customer feedback may be used by Vestrum without restriction or compensation.

Vestrum respects intellectual property rights and responds to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). If Customer or a third party believes material available through the Service infringes a copyright, a notice may be sent to owners@vestrumllc.com, attention Ahmed Tarek Ali, Co-Founder/Manager, and should include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the allegedly infringing material and information reasonably sufficient to locate it; (d) contact information for the complaining party; (e) a statement of good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the notice is accurate and that the complaining party is authorized to act on behalf of the copyright owner. Vestrum may remove or disable access to allegedly infringing material and, in appropriate circumstances, may terminate accounts of repeat infringers.

19. Confidentiality

Each party will use reasonable measures to protect the other party's non-public confidential information and use it only for the relationship. Confidentiality obligations do not apply to information that is public without breach, independently developed, lawfully received from another source, or required to be disclosed by law.

20. Security

Vestrum maintains reasonable technical and organizational measures appropriate to the Service, including encryption in transit and at rest and multi-factor authentication for supported accounts, as further described in the Security Overview. Customer is responsible for securing its credentials, devices, API keys, integrations, and user access.

21. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” VESTRUM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY COMPLIANCE TOOL WILL MAKE CUSTOMER COMPLIANT WITH LAW. VESTRUM DOES NOT WARRANT THAT THE SERVICE IS SUITABLE FOR USE WITH PHI, CARDHOLDER DATA, OR OTHER REGULATED SENSITIVE DATA.

22. Indemnification

Customer will defend, indemnify, and hold harmless Vestrum and its owners, officers, contractors, affiliates, and service providers from claims, damages, fines, penalties, costs, and reasonable attorneys' fees arising from: Customer Data; Customer's communications; Customer's failure to obtain required consent; Customer's violation of applicable calling, messaging, privacy, or data-protection law (including U.S. federal and state law and non-U.S. law such as CASL, GDPR, or the Australian Spam Act); Customer's submission of PHI, cardholder data, or other regulated sensitive data in breach of Section 4; Customer's misuse of the Service; Customer's failure to respond to a data-subject or consumer-rights request for which Customer is responsible; or Customer's breach of these Terms.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VESTRUM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. VESTRUM'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID TO VESTRUM BY CUSTOMER DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION DOES NOT APPLY TO CUSTOMER'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 22, CUSTOMER'S BREACH OF SECTION 4 OR THE AUP, OR EITHER PARTY'S BREACH OF SECTION 19 (CONFIDENTIALITY).

24. Suspension and Termination

Vestrum may suspend or terminate access for nonpayment, violation of these Terms or an Incorporated Policy, unlawful use, carrier or regulator requirements, security threats, fraud, abuse, or reasonable legal/regulatory risk. Customer may cancel according to the account cancellation process described in Section 15.

25. Arbitration; Individual Claims; Jury Waiver

The parties will first attempt in good faith to resolve a dispute through negotiation for thirty (30) days. Subject to any claim that cannot lawfully be arbitrated (including claims properly brought in small-claims court), disputes will then be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the seat of arbitration in Wyoming. Neither party may participate in a class, collective, consolidated, or representative proceeding to the maximum extent permitted by law. If the class-action waiver in this Section is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court, and the remainder of this arbitration provision will remain in full force and effect.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY COURT PROCEEDING ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS.

26. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except to the extent mandatory law of Customer's jurisdiction requires otherwise (including mandatory consumer-protection or data-protection law that cannot be waived by contract).

27. Privacy and Data Processing

Vestrum's Privacy Policy, Refund Policy, Data Processing Addendum, Cookie Policy, Security Overview, AUP, SMS & Calling Compliance Policy, and Abuse & Carrier Compliance Policy are incorporated by reference and form part of the contractual framework between the parties.

28. Export Control and Sanctions

Customer represents that it is not located in, and will not use the Service in, a country or region subject to comprehensive U.S. trade sanctions, and is not identified on any U.S. government restricted-party list (including the OFAC Specially Designated Nationals list). Customer will comply with applicable export control and economic sanctions laws in its use of the Service.

29. General

These Terms, together with applicable order forms and the Incorporated Policies, constitute the entire agreement. If a provision is unenforceable, it will be modified to the minimum extent necessary. Vestrum may update the Terms upon notice of material changes, provided at least fifteen (15) days before the change takes effect for existing Customers where reasonably practicable; continued use after the effective date constitutes acceptance. Neither party may assign these Terms without the other's consent, except that Vestrum may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets. Vestrum's failure to enforce a provision is not a waiver. Notices to Vestrum may be sent to owners@vestrumllc.com, attention Ahmed Tarek Ali (Co-Founder/Manager); notices to Customer may be sent to the email address on Customer's account.

Nothing in these Terms authorizes Customer to resell, sublicense, or provide the Service to its own sub-clients under Customer's own branding, except as expressly permitted in writing by Vestrum.
